Planning Giant serves as a platform for wedding industry professionals, couples, and organizations to connect and transact. We are not a wedding product or service provider, nor do we endorse or guarantee the quality of any products or services oered by vendors on our site. We act as a neutral venue and are not responsible for any actions or inactions of our members or vendors.

Planning Giant Subscribers:

• Please note that we are not the providers of any products or services advertised or oered by vendors on our site. Any communications or agreements made between you and a vendor are solely between the two parties involved. We do not guarantee the accuracy or reliability of information provided by vendors on our site. It is your responsibility to conduct your own research and due diligence before engaging with any vendors.
• While we make efforts to verify the identity of vendors, we cannot guarantee their integrity or capabilities. We provide a user-managed feedback system to help you evaluate vendors, but we cannot ensure the accuracy of this information. Participating in certain programs may result in vendors receiving your contact information, as outlined in the program's terms and conditions.
• Please be aware that any disputes you have with a vendor are between you and the vendor. We are not a party to these disputes, except in relation to your use of our site as outlined in Sections 32 and 33.

Vendors:

Membership to Planning Giant is available only to organizations and individuals, over 18 years of age and as required in their jurisdiction, and illegible to form legally binding documents under the law. We do not provide services to minors or to temporarily or indenitely suspended Members. Membership in Planning Giant is void where prohibited. Your Planning Giant membership is not transferable and cannot be sold. As a registered business, you declare that you have the authority to bind the entity to this and any related Agreement with the Planning Giant. If you registered as an individual, you represent and warrant that you are over 18 years of age, responsible, of the age of majority in your jurisdiction, and eligible to enter into a legally binding agreement. Members who provide goods and services are required to have a valid business operations license, as applicable.

By joining Planning Giant, you wholeheartedly agree to:

1. Provide us with complete and accurate data about yourself and also to keep it updated as often required.
2. Adhere to all the terms and conditions and rules of this Agreement, the Planning Giant Code of Conduct and the Planning Giant Community Guidelines below;
3. Protect your username, password, all other condential information; and
4. Be responsible for all activities on your account. "Basic/30 Days Free Trial," "Gold Package,” “Platinum Package,” or other unpaid vendor memberships may be oered by Planning Giant periodically. These due vendor memberships do not guarantee any advertising placement or other benets. Planning Giant reserves the right to modify the terms of or cancel any such unpaid vendor memberships.

Visitors to and Members of Planning Giant may not:

• Create an account in another's name
• Create more than one account
• Use another's account
• Impersonate another person or entity
• Use Planning Giant to breach applicable regulations, break the law, or encourage others to do so, or provide instructions on how to do so
• Offer to provide products or services that violate any applicable laws, statute, ordinance or regulation (collectively "Laws"), or oer any products or services in a manner that violates any Laws
• Offer any sweepstakes, promotion or contest without posting ocial rules and complying with the Laws
• Collect or harvest information about Site Members, including but not limited to use of robots, spiders, or similar means
• Use the information on Planning Giant to distribute unsolicited e-mail to it's Members.
• Do anything that interferes with or places an undue burden on Planning Giant (as We determine in our sole discretion)
• Use Planning Giant if your membership has been temporarily or permanently suspended or revoked Violate any terms of this Agreement

You acknowledge and agree that We have the sole discretion to set forth and post additional terms and conditions for your use of Planning Giant at various places throughout Planning Giant including, but not limited to, fees associated with specic services or uses. You agree that those additional terms and conditions shall be considered a valid amendment to this Agreement and said terms and conditions should be incorporated herein. Furthermore, you expressly agree that if there is any conict between those additional terms and conditions and the Terms set forth herein, the other terms and conditions shall govern.

There are currently NO minimum fees to join Planning Giant for Wedding Members or Vendor Members. Optional fee-based services are available, but participation is NOT mandatory. See below for details.

Wedding Members:

We may oer optional fee-based functionality/services, which may include services provided by third parties and your use of such functionality/services shall be subject to any applicable additional terms and conditions which may consist of the third parties' terms and conditions. Your credit card will not be billed unless you agree to use our fee-based functionality packages and incur a charge with Planning Giant. The fee and timing of paid subscription packages will be described separately as part of the relevant paid subscription packages.

Vendor Members:

Vendor Members with valid Vendor Accounts may opt into additional paid services ("Gold and Platinum Packages"). Planning Giant may list the prices for these Gold and Premium Packages on Planning Giant but retains the right to amend these prices and to offer discounts and temporary promotions

Charged in error:

In the event you believe that Planning Giant has charged you in error, you must contact Planning Giant Member Services at support@Planning Giant within 30 days after such charge. No refunds for any fees which are more than 30 days old.

Where applicable, based on the various subscription packages, You hereby authorize Us to debit or credit, as required, any funds to the account that you have identified to Us. You understand that it is your responsibility to maintain a valid, non-expired credit card on file with us while engaging in any of our paid service activities on Planning Giant. You agree that if you do not keep a valid, non-expired card on file with us during any billing attempt, interest and penalties may apply as stipulated below. You irrevocably and expressly authorize Us to withhold any funds and debit any funds from the accounts you have provided to Us for chargebacks, fees, costs, deductions, adjustments and any other amounts owed to Planning Giant. We reserve the rights to all actions and remedies with any funds owed to the Planning Giant. You will compensate, defend and hold us harmless for any claims, demands or causes of actions that We take toward any identified account under this Section.

If, for any reason, fees you owe Us have not been received or in any manner realized by Us ("Outstanding Fees"), you agree to pay such balance immediately. Also, the interest of 2.0% per month (24% per annum), will apply to any unpaid account balance that you maintain. All partial payments received from subscribers will first be applied to the most current fees owed to Planning Giant, including interest. We have the right to waive or reduce the amount of any outstanding Fees, late penalties, or interest. You hereby also agree to pay any attorney fees, and other costs of collection incurred by us concerning any Unpaid Fees. You also consent and authorize us, in our sole discretion, to make appropriate reports to credit reporting agencies, financial institutions, tax agencies and law enforcement authorities, and cooperate with them in any resulting investigation or prosecution. Notwithstanding the preceding, We agree that we will not charge any late fees or interest to a Member's credit card

Planning Giant contains or uses copyrighted material, inventions, know-how, potentially patentable business method material, design logos, phrases, names, logos, HTML code and/or other computer code and/or scripts and other content (collectively, "Intellectual Property Content"), all of which, unless otherwise indicated and/or provided pursuant to a third party license, are Our sole property, and We retain all appurtenant rights, interests, and title thereto. We also claim ownership rights under copyright and trademark laws concerning the "look," "touch," "feel," "design appearance" and "graphical functions" of this website, including but not limited to its color combinations, themes, sounds, layouts, and designs. You at this moment acknowledge and agree that your use of Planning Giant does not bestow upon you any permission or license to use Our (or any third party's) Intellectual Property Content. You shall not modify, reproduce, display, sell, or distribute the Intellectual Property Content, including but not limited to submitted information (as defined below) contributed by you or any other Member, or use our Intellectual Property Content in any other way for public or commercial purposes. Their rightful owners hold all other trademarks, service marks, and copyrights. You may not frame or link to Planning Giant without our prior written permission.

Planning Giant contains trademarks, trade names, trade dress, service marks, domain names or other indicia of ownership (collectively the "Marks") owned or licensed for use by Us. The Marks include, but are not limited to Planning Giant, and the Planning Giant logo, which are trademarks or registered trademarks of Us or our subsidiaries in Canada and other countries. Unless otherwise agreed to in writing, you agree that no right, property, license, permission or interest of any kind in or to the Marks is or is intended to be given or transferred to or acquired by you according to the execution, performance or non-performance of this Agreement or any part thereof. You shall in no way contest or deny the validity of, Our or our affiliates right of title to or license of use for, the Marks, and you shall not encourage or assist others directly or indirectly to do so, during the lifetime of this Agreement and after that. You shall not utilize the Marks or any similar marks in any manner that would diminish their value or harm their reputation. You shall not use or register any domain name, trademark or service mark that is identical to or similar to any of the Marks.

Reporting Claims of Copyright Infringement

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable Laws, including the Copyright Modernization Act. If you believe any materials accessible on or from Planning Giant infringe your copyright, please send us a written notice with the following information (the Copyright Notice):

Identification of the copyrighted work you believe to have been infringed or if the claim involves multiple works on Planning Giant, a representative list of such actions.

Identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that materia

Adequate information by which we can contact you (including your name, postal address, telephone number and, if available, e-mail address).

A statement that you have a good faith belief that use of the copyrighted material is not allowed by the copyright owner, its agent or the law

A statement that the information in the written notice is accurate

A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Please be aware that if you knowingly materially misrepresent that material or activity on Planning Giant is infringing your copyright, you may be held liable for damages.

If you believe that material you posted on Planning Giant was removed or mistake or misidentification disabled access to it, you may file a counter-notification with us (a "Counter-Notice") by submitting written notification to our copyright agent (identified below). The Counter-Notice must include substantially the following:

Your physical or electronic signature.

n identification of the material that has been removed or to which access has been disabled and the location at which the article displayed before it was deleted or access restricted.

Sufficient information by which we can contact you (including your name, address, phone number, and e-mail address).

A statement under penalty of perjury by you that you have a good faith belief that the material identified above was deleted or restricted as a result of an error or misidentification of the content to be removed or access disabled.

A statement that you will consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or if you reside outside the United States for any judicial district in which Planning Giant may be found) and that you will accept service from the person (or an agent of that person) who provided Planning Giant with the complaint at issue.

We may restore the removed content if the party filing the original Copyright Notice does not present a court action against you within ten business days of receiving the copy of your Counter-Notice.

Please be aware that if you knowingly materially misrepresent that material or activity on Planning Giant was removed or disabled by mistake or misidentification, you may be held liable for damages (including costs and attorneys' fees).

Repeat Infringers

It is our policy in appropriate circumstances to disable and terminate the accounts of users who are repeat infringers.

You are responsible for your interactions with other Planning Giant Members, and We are not a part of such disputes. We retain the right, but not obligated, to monitor differences between you and other Members. You hereby agree, release Us, Our and our affiliates, and all of our combined directors, officers, agents, consultants and staff from all demands, damages, and claims whatsoever, aware and unaware, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with any disputes between you and any other Site Members

Planning Giant is self-policed by the Planning Giant community (the “Community”) via a flagging tool. The flagging tool is used to communicate the policies of Planning Giant Terms of Use. Site members can 'flag' specific texts/content that do not comply with this Agreement. A "Flag as Inappropriate" link will appear on specific pages. When accessed, the popup window will appear asking the user to specify the reason for the violation. This information will then be sent to Us for investigation. If the offense is deemed legitimate by Site staff in its sole discretion, either a warning, suspension or membership termination may be issued to the violating member. You agree not to flag any content that you do not in good faith believe is inappropriate

Planning Giant offers the opportunity for Members and others to submit information to Planning Giant through any means, including, without limitation, sharing information with other Members through the Community, other message boards, and postings, uploading photos, videos, text, comments, posting on social media associated with Planning Giant, Vendor Member advertisements and listings. Any information submitted to Planning Giant, whether by a Member or not, shall be deemed to be "Submitted Information." By using these functions, you agree to abide by the terms of this Agreement and the Community Guidelines, below. We reserve the right but not the obligation to monitor posts made to the Community and other Submitted Information. Members are solely responsible for the content of their Submitted Information.

Planning Giant acts as a passive conduit for all communication and distribution of information, and We do not control the Submitted Information of Members. We cannot and will not evaluate, and We are not responsible for the accuracy, reliability, completeness, integrity or suitability of any Submitted Information, or for validating the identity of the submitting Member. Similar to any information you obtain through the Internet, you should ascertain Submitted Information before acting upon it. Planning Giant is not responsible for any losses you may incur as a result of relying on Submitted Information, even if We informed of the possibility of such damages.

By submitting Information to any part of Planning Giant, you by default grant, and you represent and warrant that you have the authority to give, to Us and our affiliates an irrevocable, perpetual, non-exclusive, transferable, fully-paid-up, royalty-free, worldwide license (with the power to sublicense at multiple levels) to use, copy, publicly perform, publicly display, telecommunicate, reformat, translate, excerpt (in whole or in part) and distribute such Submitted Information for any purpose and in any format on or in connection with Planning Giant, Our business, or the promotion thereof, to prepare derivative works of, or incorporate into other works, such Submitted Information, and to grant and authorize sublicenses of the foregoing. You acknowledge that We or our affiliates may retain archived copies of your Submitted Information and may continue to use your Submitted Information in connection with any materials that were created before the removal of your Submitted Information, under the license described above.

Furthermore, by posting Submitted Information, you expressly represent and warrant the following:

If you undermine the integrity of our Rating and Review system in any way, your membership may be suspended or terminated. Each Vendor Member acknowledges that your Rating and Review ("feedback") consists of opinions left by other Site Members and a machine calculated feedback score. You further accept that Planning Giant does not make judgments on the veracity of the views or statements.

Feedback Rules:

We may suspend or terminate your account if We suspect that you have engaged in fraudulent activity in connection with Planning Giant, as determined in our sole discretion. Deceptive acts include, but not limited to, the manipulation of the Rating and Review system.

- You acknowledge and agree that Planning Giant is a neutral place and that all transactions for services and products are made by and between you and other Members only and, therefore, We will not, cannot and do not make any comments on your behalf whatsoever. As a consequence, you acknowledge that the critical component and integrity of Planning Giant is the ability of Members to leave Ratings and Reviews about you and your services (whether positive, neutral or negative) AND for other Members to read and evaluate those feedback reviews and make voluntary choices based upon that feedback. Therefore, to preserve the principal component and integrity of Planning Giant, you shall NOT:

Attempt to restrict in any way a Member's right to post a review, by contract or otherwise;

Offer Member cash or other compensation in any form in exchange for a more favorable review;

Post and cut and paste and copy the content of a Member feedback review from Planning Giant to your own personal or business site, to any other third party website and to or on any of your private personal, business or third-party marketing/advertising materials, regardless of the form;

Attempt to gain feedback by receiving multiple feedback from the same member;

Post or attempt to post, in any manner or by any means, a feedback review on your account; or

Misrepresent or impersonate another Member.

We may allow you to receive promotional coupons, codes or vouchers("Coupons") that may be used to purchase goods and services from third parties ("Coupon Vendors"). In no event shall We be responsible for providing the goods and services indicated in a Coupon. We shall have no liability for the products and services offered under a Coupon. You agree to look solely to the Coupon Vendor for the goods and services to be provided; therefore, the Coupon Vendors are responsible for any damages, claims or liabilities, including, but not limited to, injuries and property damages. You hereby release Planning Giant and our affiliates, officers, directors, consultants, employees, shareholders, agents from and you waive and release us and our members, officers, directors, employees,shareholders, and agents from, causes of action, all claims, damages, liabilities, costs, and attorneys' fees and expenses whatsoever, known or unknown, arising out of the goods and/or services provided in connection with the Coupons. Additional terms and conditions may be contained on each Coupon. Any violation of the Coupon terms and conditions will make the Coupon void. We are not responsible for lost or stolen Coupons. The combination of a Coupon with other coupons or offers is at the sole discretion of the Coupon Vendors. Vouchers are not redeemable for cash. Only one Coupon per redemption. A Coupon is automatically void if prohibited by law. A Coupon may not be used for alcohol, tips, taxes, and any other statutory limitations. Any Coupon credit for the use of the Coupon for less than its face value shall be at the sole discretion of the Coupon Vendor unless otherwise required by law. You acknowledge and agree that We may stop (permanently or temporarily) providing the Coupons to you or users generally at Our sole discretion, without any notice to you.

Planning Giant offers several tools to Members (collectively, "Member Tools"), some of which are provided by third parties. Planning Giant is not responsible for the suitability, availability or effectiveness of any Member Tools, whether provided by a third party or not. Also, We are not responsible for any data you lose as a result of a malfunction of the Member Tools or Planning Giant or for any other reason or any consequential damages resulting from such data loss. You must keep backup copies of all such information on your computer and in hard copy. Planning Giant reserves the right to modify or discontinue any Member Tools or other services provided on Planning Giant at any time without warning. Vendors may use or purchase Gold and Platinum Packages from Planning Giant. Additional terms relating to availability and security of Vendor Terms may be specified regarding Purchase for the Gold and Platinum Packages; otherwise, the conditions in this Terms of Use shall apply to the use of the Gold and Platinum Packages.

Please see the Planning Giant Privacy Policy (below) to learn about how we treat information We gather from you. Please be aware that Members, including Vendor Members, are not bound by our Privacy Policy except as specified therein. Therefore, you should carefully safeguard your personal information and check with Vendor Members to see how they treat information they gather from you.

You hereby agree and acknowledge that your provision of services and your use of Planning Giant, does not grant or suggest any contractor, partnership, joint venture, agency, employee/employer or franchisor/franchisee relationship with us. Furthermore, no association, connection or affiliation exists between you and our organization. You shall in no event have authority to contract, bind, commit, or otherwise legally compel Us in any manner.

We retain the absolute right to reject your participation, or remove you from your current participation, in Planning Giant for any cause or without cause and notice to you at our discretion. Reasons that may result in the denial or removal of your subscription can include, but not limited to violation of our Terms of Use Agreement; your creation, maintenance, and management of multiple accounts; your subscription Fees default; any effort by you to unethically influence, or cause another to control the feedback of Members unethically; or any attempt by you to harass, or create another to attack, or have inappropriate communications with a Member .

Upon your removal from Planning Giant, you may petition for reinstatement. Your petition for reinstatement must include the following: (i) a written statement as to why you should be reinstated and (ii) your contact information. Your Petition will be reviewed at our discretion, and any determination as to your reinstatement will be based on our sole judgment. Your submission of a petition does not, in any manner, guarantee, that you will be restored and We expressly disclaim all representations concerning any such warranty. Once a decision has been made to reinstate you, we will contact you. We are not obligated to give you reasons or basis as to our decision. You understand that any determination as to reinstatement may be a simple, yes or no. All decisions are final.

As a result of the performance of this Agreement and whether due to any intentional or negligent act or omission, We may disclose to you or you may otherwise learn of or discover, our documents, business practices, object code, source code, management styles, day-to-day business operations, capabilities, systems, current and future strategies, marketing information, financial information, software, technologies, processes, procedures, methods and applications, or other aspects of our business ("Our Information"). You now agree and acknowledge that all of the Information on our website is confidential and shall be our sole and exclusive intellectual property and proprietary information. You decide to use Our Information only for the specific purposes as allowed by the performance of this Agreement. Any disclosure of Our Information to a third party explicitly including a direct competitor is strictly prohibited and may be vigorously challenged in a court of law. All obligations contained herein shall survive the termination of this Agreement. Furthermore, you acknowledge that our information is proprietary, confidential and extremely valuable to us and that Your disclosure of Our Information would materially damage us. You accept and agree that monetary damages provide an insufficient remedy for the breach of this confidentiality obligation and that We shall be entitled to injunctive relief.

We reserve the right to keep all records of all communications between you and other Members for administration purposes.

We always want to receive messages and feedback from Site Members and welcome any comments regarding Planning Giant. However, please be aware that any ideas, suggestions, comments or proposals you send to Us (collectively, "Submissions") are non-confidential, shall automatically become the sole property of Planning Giant, and you now assign all right, title and interest in such Submissions. To the extent Submissions cannot be assigned to Planning Giant, you hereby grant and agree to grant to Planning Giant all rights needed for Planning Giant to incorporate and commercialize the Submissions at no charge or obstruction to Planning Giant and you agree that Planning Giant may disclose the Submissions to any third party in any manner and you agree that Planning Giant has the ability to sublicense all Submissions in any form to any third party without restriction. Planning Giant shall own all rights therein, including all intellectual property rights. Planning Giant shall be entitled to use and disseminate the Submissions in any manner and for any purpose whatsoever, commercial or otherwise, without compensation or credit to you.

Remedies for the use of Planning Giant that violate this Agreement include, but are not limited to, the immediate termination of your membership, notifying our Members of your actions, issuing a warning (including a public warning), temporarily suspending your membership, monetary compensation, and injunctive relief.

WE, OUR AFFILIATES, EMPLOYEES, AND SUPPLIERS PROVIDE Planning Giant AND THE SERVICES THEREON "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. WITHOUT LIMITING THE preceding, WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE FURTHER DO NOT WARRANT THAT THIS SITE OR ANY INFORMATION, SERVICES OR TOOLS OFFERED ON THIS SITE WILL MEET YOUR REQUIREMENTS, WILL BE ACCURATE, COMPLETE OR CURRENT, OR WILL GIVE ACCURATE, COMPLETE OR CURRENT RESULTS; THAT OPERATION OF Planning Giant, INCLUDING TOOLS OR OTHER SERVICES OFFERED ON Planning Giant, WILL BE TIMELY, SECURE, UNINTERRUPTED, OR FREE FROM ERROR OR OMISSION OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY ERRORS ON Planning Giant WILL BE CORRECTED. Planning Giant DOES NOT REPRESENT OR WARRANT THAT DATA YOU STORE ON Planning Giant (FOR EXAMPLE, IN CONNECTION WITH TOOLS) WILL BE SECURE, AVAILABLE OR PRESERVED. WE DO NOT REPRESENT OR WARRANT THAT ALL TOOLS OR OTHER SERVICES ON Planning Giant WILL CONTINUE TO BE OFFERED.

IN NO EVENT SHALL Planning Giant, OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AGENTS OR OUR SUPPLIERS BE LIABLE TO YOU OR ANYONE ELSE FOR DIRECT, INDIRECT DAMAGES, LOST PROFITS, ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES OF ANY KIND WHATSOEVER ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE Planning Giant, FOR USE OF COUPONS, OR FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON INFORMATION CONTAINED ON Planning Giant, WHETHER IN AN ACTION FOR BREACH OF WARRANTY OR CONTRACT, DEFAMATION, NEGLIGENCE OR OTHER TORTIOUS ACTION, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. OUR LIABILITY, AND THAT OF OUR EMPLOYEES AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE LESSER OF THE AMOUNT OF FEES YOU PAY TO US IN THE 12 MONTHS BEFORE THE ACTION GIVING RISE TO LIABILITY OR $100, NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY.

You agree to indemnify and hold Planning Giant and our affiliates, officers, directors, shareholders, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising in any manner in whole or in part out of your use of Planning Giant, including but not limited to (i) your advertising, provision of or failure to pay for goods or services promoted on Planning Giant; and (ii) claims that any of your Submitted Information includes materials owned by third parties without authorization, was defamatory or harassing, or otherwise violated the rights of any third party.

This Site may contain links to other sites which are provided solely as a convenience to you, or which are provided by other Members. Planning Giant is not responsible for the availability of external sites or resources linked to Planning Giant, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You shall comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of our service and your listing, shipping, transporting, and solicitation of offers to ship and carry items.

This Agreement shall be governed by Canadian legislation, which shall be applied to the validity, interpretation, execution, and compliance thereof. Any claim or controversy arising out of or relating to your use of this Site, to the goods or services provided through Planning Giant. This Agreement, or to any acts or omissions for which you may contend, We are liable, including but not limited to any claim or controversy as to arbitrability ("Dispute"), shall be finally, and exclusively, settled by arbitration, as further specified in Section 33, below. Only to the extent that the arbitration provisions are inapplicable or unenforceable concerning a particular Dispute, such Dispute shall be submitted to the Courts and Tribunals of the city of support@Planning Giant. Consequently, both parties expressly renounce their jurisdiction. If either party employs attorneys to enforce any right in connection with any Dispute or lawsuit, the prevailing party shall be entitled to recover reasonable attorneys' fees

Disputes between you and Planning Giant regarding Planning Giant and our services should be reported to support@Planning Giant. We will attempt to resolve any disputes you have with us. Because We are a neutral venue, We are not responsible for resolving any disputes between you and members regarding services or transactions. Under Section 32, above, any arbitration related to a Dispute shall be held before one arbitrator under the commercial arbitration rules of the International Centre for Dispute Resolution ("ICDR") in force at that time. The arbitration shall be conducted in Toronto, Canada. The arbitrator shall be selected according to the ICDR rules. Should no ICDR rule regarding Toronto, Canada selection of an arbitrator be in effect, the Member shall select an arbitrator from a panel of arbitrators acceptable to the Planning Giant. In any arbitration, the parties will split the cost of the filing fee, plus the costs associated with the first day of mediation, with the remaining costs of arbitration paid by the non-prevailing party, provided. To begin the arbitration process, a party must make a written demand therefore.

Any judgment upon an award rendered by the arbitrators may be entered in any court of competent jurisdiction in Toronto, Canada. The arbitrators shall not have the power to award damages in connection with any Dispute more than actual compensatory damages and shall not multiply actual damages or award consequential, punitive or exemplary damages, and each party irrevocably waives any claim to that. The agreement to arbitrate shall not be construed as an agreement to the joinder or consolidation of an arbitration under this Agreement with an arbitration of disputes or claims of any non-party, regardless of the nature of the issues or debates involved

THIS AGREEMENT PROVIDES THAT ALL DISPUTES BETWEEN BINDING ARBITRATION WILL resolve YOU AND Planning Giant. YOU THUS GIVE UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS. YOU ALSO GIVE UP YOUR RIGHT TO PARTICIPATE IN OR BRING CLASS ACTION LAWSUITS. NEUTRAL ARBITRATORS WILL determine YOUR RIGHTS AND NOT A JUDGE OR JURY. You are entitled to a fair hearing, but the arbitration procedures are more straightforward and more limited than rules applicable in court. Arbitrator decisions are enforceable as any court order and are subject to insufficient review by a court. By using Our goods and services or Planning Giant, you consent to these restrictions.

Planning Giant uses industry standard practices to protect your personal information, including firewalls and Secure Socket Layers. We utilize several different security techniques to protect data from unauthorized access, but, Except as specified in the Terms of Purchase, We cannot guarantee the security of our system. Except as specified in a Terms of Purchase, we also do not ensure uninterrupted or secure access to our system, as the operation of Planning Giant can be interrupted by numerous factors outside of our control.

Planning Giant wants all couples and vendors to feel welcome and included on its Websites, applications, and tools (the “Properties”).

Planning Giant prohibits discrimination against couples, guests, vendors, or employees of Planning Giant based on race, color, religion, sex, national origin, ancestry, disability, marital, family, pregnancy status, veteran or citizenship status, age, or any other characteristic protected under applicable federal, regional, state, or local law. Such discrimination includes, but is not limited to, refusing to provide or accept services or any other conduct that improperly takes into account these characteristics.

As further addressed in our Terms of Use, this prohibition applies to the posting of discriminatory content, such as reviews or forum posts, on our Properties.

Planning Giant will, at its discretion, take steps to enforce this policy, up to and including suspending vendors and users who violate this policy from our Properties.

This Agreement may not be modified, supplemented, qualified, or interpreted by any trade usage or prior course of dealing not made a part of the Agreement by its express terms. To the extent of any conflict between the terms of this Terms of Use and any other document made a part of the Agreement by its express terms, the terms of this Terms of Use shall prevail unless the separate report states explicitly that it shall prevail. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity of this Agreement as a whole, and authorities should enforce any such rule and reconstruct if need be, to apply to the maximum extent allowable under applicable law. The failure by Planning Giant to enforce at any time any of the provisions of this Agreement, to exercise any election or option provided herein, or to require at any time the performance of the other of any of the provisions herein will not in any way be construed as a waiver of such requirements. Reasonable attorneys' fees and costs will be awarded to the prevailing party in the event of arbitration or litigation involving the enforcement or interpretation of this Agreement. You agree that other than affiliates or subsidiaries of Planning Giant, there are no intended third-party beneficiaries of this Agreement. The section headings used herein are for convenience only and shall not be given any legal import.

The parties have expressly agreed that this agreement and all ancillary agreements, documents or notices relating to that be drafted solely in the English language. This Privacy Policy is aimed to educate and inform you of our policies and practices concerning the gathering, use and disclosure of Personal data, Automatically Gathered data and Anonymous data (each defined below) you submit to us or which we gather when you visit the Planning Giant. Users of Planning Giants and applications that are part of Planning Giant may be able to adjust the manner or amount of information that is publicly disclosed or shared with third parties by changing privacy settings (the "Privacy Settings") within those sites or applications.

By using Planning Giant, you agree to be compliant to the terms of this Privacy Policy, and you expressly consent to the processing of your Personal Information according to this Privacy Policy by third parties with whom we have a relationship or by us. We may process your Personal Information in the country where it is collected, as well as other countries (including the United States) where laws regarding processing of Personal Information may be less stringent than the regulations in your country. The legal and governmental authorities in these other countries may have greater access to your personal information than the authorities in your country. Also, in the event you contact us via telephone, you understand, acknowledge and agree that such phone conversations may be recorded.

If you add Personal Information of others, such as your fiancé, wedding guests, or business partner, to Planning Giant in your profile or otherwise, you are representing that you are authorized to provide Us with such information and that we may treat it in accordance with any applicable Privacy Settings that you have selected and otherwise in accordance with this Privacy Policy. We may, in the future, include other optional requests for information from you to help us tailor Planning Giant for you and deliver personalized information to you. We may supplement Personal Information with additional information purchased from third parties for marketing purposes. Also, if an Event User adds a vendor to its planning tools, or provides a review of a new vendor, we will automatically add that vendor's information to our catalog.

Use of portions of Planning Giant requires you to establish a User ID and password. You agree that you will be responsible for maintaining your password as confidential and for any activity that occurs on your Account as a result of you sharing your password with another or failing to protect it. We are not responsible for any loss or damage arising from your failure to maintain the confidentiality of your password.

Occasionally, We may conduct User surveys to collect information about our Users' preferences. These surveys are optional, and if you choose to respond, your responses will be treated under the survey terms, if any, and otherwise per this Privacy Policy. These surveys may be conducted by and processed through third parties. Similarly, we may offer contests to qualifying Users in which we ask for contact and demographic information such as name, email address and mailing address. The demographic information that We collect in the registration process and through surveys may be used to help us improve our Services and Site to meet the needs and preferences of our Users. This may include targeting advertising to you about our Services and Site. We automatically collect information including but not limited to, browser type, browser software version, browser characteristics, IP address, location information, type of computer or mobile device, mobile carrier, unique device identifier, requesting and referring URLs and other information that may personally identify you ("Automatically Gathered Information"). We reserve the right to collect and manage this information at our discretion. We may use web beacons, cookies, and other tracking methods ("Tracking Technologies") to conduct research and analytics, to maintain records of Users' activities on Planning Giant, to manage use of Planning Giant and website services (including third party services), to deliver ads to you or otherwise customize and improve your user interface experience, and as deemed necessary for additional website management purposes. Moreover, we can and will use IP addresses to identify a User when we, in our sole discretion, determine that it is necessary to enforce compliance with Planning Giant Terms of Use or Privacy Policy or to protect our service, Site, customers, vendors, or others. We let Wedding Members easily connect your Profiles to friends/affiliates via email. Planning Giant also offers the ability to send friends/affiliates emails to Planning Giant. If you choose to use either feature, we will use your email address to copy you on the message or to send the email on your behalf, and you now grant permission for such use.

As part of registration, you may set up a Profile describing yourself, your wedding (My Profile). This profile will be publicly available as a default. Wedding Members may have the ability to modify the sharing of their Personal Information collected via Planning Giant using the Privacy Settings. Other sites and mobile applications that are part of Planning Giant may have separate privacy settings. If you change your Privacy Settings, some information that was previously public and that you switch to a private setting may remain cached and publicly available temporarily or indefinitely by search engines and others who archive publicly available content.

We may collect and store information about your use of Planning Giant, such as the terms that you search for, the pages or screens that you view, and the activities that you conduct on or using Planning Giant, including which vendors you review, list as favorites, consult, booked or call or contact using Planning Giant and how you conduct those activities (collectively, "Website Activity"). Website Activity may include actions that we can collect or infer using Automatically Gathered Information.
